2. NATURE OF THE SERVICE

2.1. Minefront is a data aggregation and visualisation platform. The Platform collects, processes, and displays publicly available information related to Australian mining and exploration companies listed on the ASX.

2.2. Minefront does not provide financial product advice. Nothing on the Platform constitutes a recommendation, opinion, or statement intended to influence your decision to acquire, dispose of, or hold any financial product, including shares, securities, or derivatives. The Platform provides factual information aggregated from public sources within the meaning of ASIC Regulatory Guide 244.

2.3. The Platform does not hold an Australian Financial Services (AFS) licence and is not required to hold one. No content on the Platform should be interpreted as general advice or personal advice as defined under the Corporations Act 2001 (Cth).

2.4. Scores, rankings, activity indicators, and alert notifications displayed on the Platform are mathematical aggregations of publicly available data points. They are not buy signals, sell signals, or recommendations of any kind. They are presented solely to help you locate and organise publicly available information efficiently.

3. NO RELIANCE: CRITICAL DISCLAIMER

3.1. You must not rely on any information provided by the Platform as the sole or primary basis for any trading, investment, or financial decision. You should always conduct your own independent research and seek professional financial advice before making any decision to buy, sell, or hold any financial product.

3.2. You acknowledge and agree that:

• The Platform is an information tool only and is not a substitute for professional financial, legal, or tax advice;
• Any decision you make to trade, invest, or otherwise deal in financial products is made entirely at your own risk and based on your own independent judgement;
• We have no knowledge of your personal financial situation, objectives, or needs, and nothing on the Platform takes any of these into account;
• Past performance of any scoring model, signal, or indicator displayed on the Platform is not indicative of future results; and
• Trading in ASX-listed securities, particularly junior mining and exploration companies, carries a high degree of risk, including the risk of total loss of capital.

4. DATA ACCURACY AND LIMITATIONS

4.1. The Platform uses automated processes to extract, parse, and display information from third-party sources, including PDF documents published by ASX-listed companies. These automated processes are inherently imperfect and may produce errors, omissions, or inaccuracies.

4.2. Without limiting the generality of clause 4.1, you acknowledge and agree that:

• Parsed Data extracted from PDF documents (including but not limited to drill intercepts, assay results, resource estimates, director dealing amounts, cash flow figures, and capital raising details) may contain errors arising from variations in document formatting, OCR limitations, parsing logic, or source document quality;
• Tenement boundary data is sourced from state and territory government registries and may not reflect the most current ownership, status, or boundary information at the time of display;
• The mapping of ASX-listed companies to specific mining tenements involves automated and manual processes that may contain errors, including incorrect company-to-tenement linkages, missing tenements, or outdated holder information;
• Neighbour tenement identification is based on spatial proximity calculations and does not account for geological formation boundaries, depth of mineralisation, or other geological factors that may affect the relevance of neighbouring activity;
• Announcement classification (including the categorisation of announcements as drilling, discovery, permit, insider dealing, or other types) is performed using automated keyword and pattern matching that may misclassify announcements;
• Commodity price data is sourced from third-party feeds and may be delayed, incomplete, or inaccurate;
• ASX announcement data is sourced from publicly available feeds and may be delayed, incomplete, or subject to change; and
• Score calculations depend on the completeness and accuracy of all underlying data sources, and a score may be materially incorrect if any input data is missing, delayed, or inaccurate.

4.3. You must always verify any Parsed Data against the original source document before relying on it for any purpose. Where available, the Platform provides links to original ASX announcement PDFs and source documents. It is your responsibility to review these source documents.

4.4. We make no representation or warranty that any data displayed on the Platform is accurate, complete, current, or error-free. All data is provided on an "as is" and "as available" basis.

5. LIMITATION OF LIABILITY

5.1. To the maximum extent permitted by law, we exclude all liability for any loss, damage, cost, or expense (whether direct, indirect, consequential, special, or incidental) arising from or in connection with:

• Your use of, or reliance on, any information, data, score, alert, map, or other content displayed on or delivered through the Platform;
• Any error, omission, inaccuracy, or delay in any data displayed on or delivered through the Platform, including any Parsed Data;
• Any trading, investment, or financial decision you make based in whole or in part on information obtained from the Platform;
• Any failure, interruption, or delay in the delivery of alerts, notifications, or data through the Platform;
• Any loss of data, including Your tracked stocks, alert configurations, or account settings;
• Any unauthorised access to your account; and
• Any third-party source data being inaccurate, incomplete, delayed, or unavailable.

5.2. If, notwithstanding clause 5.1, we are found to be liable to you for any loss or damage, our total aggregate liability to you for all claims arising out of or in connection with these Terms and Conditions or the Platform shall not exceed the total amount of subscription fees paid by you to us in the twelve (12) months immediately preceding the event giving rise to the claim.

5.3. Nothing in these Terms and Conditions excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred on you by the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) or any other applicable law that cannot be excluded, restricted, or modified by agreement.

6. INDEMNITY

6.1. You agree to indemnify, defend, and hold harmless Minefront Pty Ltd, its directors, officers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

• Your use of the Platform;
• Any trading, investment, or financial decision you make based in whole or in part on information obtained from the Platform;
• Your breach of these Terms and Conditions; and
• Your violation of any applicable law, regulation, or third-party right.

7. SUBSCRIPTION AND PAYMENT

7.1. The Platform offers free and paid subscription tiers. Features available under each tier are described on the Platform's pricing page and may change from time to time at our sole discretion.

7.2. Paid subscriptions are billed monthly or annually in advance. By subscribing to a paid tier, you authorise us to charge your nominated payment method at the applicable rate.

7.3. All fees are quoted in US Dollars unless otherwise stated and are inclusive of GST where applicable.

7.4. You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.

7.5. We reserve the right to change subscription fees at any time. We will provide you with at least 30 days' notice of any fee increase. If you do not agree to the increased fees, you may cancel your subscription before the increase takes effect.

8. ACCEPTABLE USE

8.1. You agree not to:

• Use the Platform for any unlawful purpose, including insider trading or market manipulation;
• Scrape, crawl, or systematically extract data from the Platform by automated means without our prior written consent;
• Resell, redistribute, or commercially exploit any data obtained from the Platform without our prior written consent;
• Attempt to reverse-engineer, decompile, or derive source code from the Platform;
• Interfere with or disrupt the Platform or its infrastructure;
• Share your account credentials with any other person; or
• Create multiple free accounts to circumvent subscription limitations.

9. INTELLECTUAL PROPERTY

9.1. All intellectual property rights in the Platform, including its design, software, scoring algorithms, data processing methods, and branding (including the names "Minefront" and "MineMap"), are owned by or licensed to Minefront Pty Ltd.

9.2. Source Data displayed on the Platform remains the property of the respective third-party data owners (including the ASX, state and territory governments, and other data providers) and is used in accordance with applicable licences and terms of use.

9.3. You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for your personal, non-commercial use in accordance with these Terms and Conditions.

10. PRIVACY

10.1. We collect, use, and disclose your personal information in accordance with our Privacy Policy.

10.2. By using the Platform, you consent to the collection, use, and disclosure of your personal information as described in our Privacy Policy.

11. THIRD-PARTY DATA AND SERVICES

11.1. The Platform relies on data from third-party sources, including the ASX, state and territory mining registries, commodity price providers, and other public data sources. We are not responsible for the accuracy, availability, or timeliness of any third-party data.

11.2. The Platform may integrate with third-party services for alert delivery (including Telegram, email, and other messaging services). We are not responsible for the availability, reliability, or security of these third-party services.

11.3. Links to original ASX announcement PDFs and other third-party documents are provided for your convenience. We do not control and are not responsible for the content or availability of these documents.

12. SERVICE AVAILABILITY

12.1. We do not guarantee that the Platform will be available at all times or that it will be free from errors, interruptions, or downtime. We may suspend or discontinue the Platform or any feature at any time without notice.

12.2. We will use reasonable efforts to notify you of planned maintenance that may affect the availability of the Platform, but we are not obligated to do so.

13. TERMINATION

13.1. We may suspend or terminate your account at any time and for any reason, including if we reasonably believe you have breached these Terms and Conditions.

13.2. You may terminate your account at any time by contacting us at contact@minefront.app.

13.3. Upon termination, your right to access and use the Platform ceases immediately. Any provisions of these Terms and Conditions that by their nature should survive termination (including clauses 3, 4, 5, 6, and 9) will survive.

14. CHANGES TO THESE TERMS

14.1. We may amend these Terms and Conditions at any time by publishing the updated terms on the Platform. The updated terms will take effect from the date of publication unless otherwise stated.

14.2. Your continued use of the Platform after the publication of updated terms constitutes your acceptance of the updated terms.

14.3. We will use reasonable efforts to notify you of material changes to these Terms and Conditions, including by email or notification on the Platform.

15. GOVERNING LAW AND JURISDICTION

15.1. These Terms and Conditions are governed by the laws of New South Wales, Australia.

15.2. You submit to the exclusive jurisdiction of the courts of New South Wales, Australia, and any courts of appeal from them, in respect of any proceedings arising out of or in connection with these Terms and Conditions.

16. GENERAL

16.1. If any provision of these Terms and Conditions is found to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect.

16.2. Our failure to exercise or enforce any right or provision of these Terms and Conditions does not constitute a waiver of that right or provision.

16.3. These Terms and Conditions constitute the entire agreement between you and us in relation to the Platform and supersede all prior agreements and understandings.

16.4. You may not assign or transfer any of your rights or obligations under these Terms and Conditions without our prior written consent.
